At Intuitexus, we value clarity and fairness regarding intellectual property (IP) rights. This policy outlines the ownership and rights related to intellectual property before and after payment completion.
1. Ownership of Intellectual Property
- Pre-Payment:
- Until full payment is received, Intuitexus retains ownership of all intellectual property (IP) created as part of the project. This includes, but is not limited to, designs, code, content, and other deliverables.
- Clients are granted a temporary, non-exclusive, and non-transferable license to use the IP solely for the purpose of reviewing and approving the work.
- Post-Payment:
- Upon receipt of full payment, ownership of the IP associated with the project will transfer to the client. This includes all rights, titles, and interests in the deliverables provided.
- Intuitexus will provide the client with all necessary documentation and files to facilitate the transfer of ownership.
2. Use of Intellectual Property
- Pre-Payment:
- During the pre-payment period, the client is allowed to review, comment on, and approve the IP as part of the project development process. However, any use of the IP beyond these purposes requires explicit written consent from Intuitexus.
- Post-Payment:
- After full payment, the client may use, modify, and distribute the IP as they see fit, within the scope of their rights. Intuitexus will no longer have any claim or control over the IP once ownership is transferred.
3. Revisions and Modifications
- Pre-Payment:
- Any revisions or modifications requested before payment is complete will be at the discretion of Intuitexus and subject to additional fees if they fall outside the original project scope.
- Post-Payment:
- After payment is complete, the client may request further revisions or modifications. Such requests will be handled according to the terms agreed upon post-payment and may incur additional costs.
4. Termination of Agreement
- Pre-Payment:
- If the agreement is terminated before payment is complete, all IP created up to that point remains the property of Intuitexus. The client will have no rights to use or access the IP.
- Post-Payment:
- If the agreement is terminated after payment is complete, the client retains ownership of the IP as outlined above. Intuitexus will ensure that the client has all necessary access to the completed work.
5. Disputes and Clarifications
- Resolution:
